For sound BV bookkeeping, the following is legally required:
- Purchase and sales invoices: All bills from and to clients.
- Bank transactions: An overview of all business transactions.
- Contracts: From rental and lease agreements to partnerships.
- Payroll records: Required for staff and for DGA salary administration.
- Tax documents: Filings for VAT, corporate tax, and payroll tax.
A BV is a legal entity, which means extra paperwork:
- The official shareholders' register.
- Minutes of the annual shareholders' meeting.
- The director's management agreement.
- Documented arrangements for the current account (private vs. business).
The standard statutory retention period is 7 years. This applies to your basic records such as invoices and bank statements. Records relating to real estate (such as your business premises) must, however, be kept for 10 years.
Digital is fine, as long as authenticity is guaranteed. Note: Invoices you receive digitally must also be stored digitally. A printed version doesn't count as the original for the Dutch tax authorities. Your documents are of course stored securely with us.
Poor bookkeeping can lead to fines, but with a BV there's a bigger risk: director's liability. If the bookkeeping doesn't meet legal requirements, the director can be held personally liable in the event of bankruptcy.
