Let us prepare your annual accounts

Professional. Accurate. On time.

What are annual accounts

Annual accounts are your company’s final financial report for a completed financial year. They provide an official overview of your BV’s financial performance and equity position. For the Dutch Tax Administration (Belastingdienst), the bank, and any shareholders, this is the key document for assessing the health of your business.

Balance sheet
A snapshot of all your assets and liabilities on the last day of the year (usually 31 December).
Profit & loss statement
An overview of all income and expenses throughout the year, resulting in your net result: profit or loss.
Notes to the accounts
The notes are the third part of the annual accounts: a written explanation of the figures. Here you clarify, for example, how your property was valued or how many staff you employed.
Filing obligation
Annual accounts must be filed with the Dutch Chamber of Commerce (KVK). Filing on time (within 12 months of the end of the financial year) protects you as a director against liability.

Annual accounts - who needs them

Not every entrepreneur has the same obligations. While a freelancer with a sole proprietorship only needs a year-end overview for their tax return, stricter rules apply to companies.

BV’s

Every BV is legally required to prepare and file annual accounts with the Dutch Chamber of Commerce (KVK) each year. This also applies to a ‘dormant’ BV with no activity. The purpose is transparency: business partners must be able to see who they’re dealing with.

Holding

A holding is technically also a BV, so it has exactly the same filing obligation. Do you have a holding structure (for example a holding company and an operating BV)? Then you must file separate annual accounts for both BV’s.

Exemption

A subsidiary can sometimes be exempted from filing if the holding company issues a liability statement (a ‘403 declaration’), but the holding company must then publish consolidated annual accounts.

As you grow

A micro-enterprise (for example, fewer than 10 FTEs) only needs to file a very limited balance sheet. As your business grows, the requirements for your annual accounts become stricter. Sophy &Co. helps you stay compliant, even as your company grows.

Frequently asked questions

about annual accounts and other yearly obligations

Absolutely. Even a ‘dormant’ holding company or a small operating BV has a filing obligation. For these companies, we apply the micro or small regime, so your annual accounts are prepared and filed efficiently and cost-effectively, without compromising on quality.

At many firms, annual accounts are simply a look back at the past. We use them as a strategic compass. By thoroughly analysing your 2025 and 2026 figures, we uncover trends in your margins and working capital. That means we go further than just reporting; we proactively advise you on the direction of your business.

Your KVK filing must be submitted within 12 months of the end of the financial year. If you miss this, you risk not only a fine from the Dutch Tax Administration (Belastingdienst), but also director’s liability. In the event of bankruptcy, failing to file (on time) can be treated as mismanagement. We monitor these deadlines strictly for all our clients.

The statutory customary salary for a DGA (director-major shareholder) is set at €58,000 in 2026. Many advisors stop there, but we look at the bigger picture. We calculate the ideal balance between salary and dividend payments (Box 2), taking the phase-out of tax credits into account. Our goal is for you to keep the maximum net amount under the latest tax rules.

Standard advice stops at the tax return. We look at the future of your wealth. Take the Box 3 issue: we advise you on the counter-evidence scheme for your actual investment return, so you never pay too much tax on notional gains. We also monitor the threshold for excessive borrowing (€500,000) to help you avoid unexpected Box 2 tax charges.

If you choose this option, we act as your official tax representative. Whether it’s a complex VAT correction filing, requesting an extension, or a discussion about the revaluation of your business property, we handle the conversation. You focus on running your business, we take care of the tax backup. Please note that this service is not part of the standard package.
